Chapter Code of Conduct

In order to promote high standards of conduct and ethics, and to promote respect and professionalism among members, the Chapter Board of Directors has adopted this Code of Conduct and encourages all members and attendees at Chapter events to at all times to comply with this code.

  1. Chapter members and attendees at Chapter functions are expected to maintain high standards of conduct at all times and shall treat fellow members and function attendees, participants, sponsors, exhibitors and speakers with respect at all times.

  2. Chapter members and attendees at Chapter functions will address each other with respect, even in circumstances of disagreement.  Any issues with another member, attendee, sponsor, exhibitor or speaker shall be brought to the attention of the Chapter Executive Director, who may take the issue to the Board of Directors to address.

  3. Chapter members and attendees at Chapter functions will act with the highest ethical standards, recognizing that whenever competitors within an industry gather, appropriate care must be exercised to ensure that violations of anti-trust laws to not occur.  All attendees or participants at any Chapter function or meeting should avoid any collusive practices or discussions.  Collusion is an agreement to restrain trade and is most usually evidenced as: product boycott, restrictive market allocations, refusal to deal with a third-party and price restraining activities. There need not be written or verbal agreements to restrain trade.  Conversation regarding any of these sensitive areas may be construed as implicit violations.  The standards for determining if any of these activities are occurring or have occurred will be set by the Chapter Board of Directors.

  4. Chapter members and attendees at Chapter functions are discouraged from making inaccurate of misleading representations or statements to current or potential clients, or disparaging statements about fellow members, competitors or attendees.

  5. Chapter members and attendees at Chapter functions are encouraged to be aware of and avoid any real or apparent conflicts of interest in performing their duties and obligations, and to promptly disclose any such conflicts to the Chapter Executive Director who will bring the matter to the Board of Directors.

  6. Only sponsors of an individual program may distribute company literature or otherwise promote their company during a sponsored event, including door prizes.  Attendees should display respect towards the function's sponsors, and business cards should only be exchanged by other members/attendees upon request.  The Chapter encourages the development and nurturing of relationships between its members, and any additional discussions regarding businesses not run by or belonging to the program sponsors should be done outside of the sponsored event.

  7. The Chapter encourages members and attendees to refrain from criticizing peers and/or competitors or their business practices and to maintain a health and professional relationship with other members of the Chapter and industry at large.  Any issues arising between members or attendees at any Chapter function shall be brought immediately to the attention of the Chapter Executive Director who will bring the matter to the Board of Directors.

  8. Members with any CAI professional certifications or designations are expected to honor their oath to abide by CAI's Professional Code of Ethics, or other code of conduct associated with such designations.  Any Chapter member or attendee at a Chapter function who believes a member with a CAI designation may have violated the CAI Code of Ethics is encouraged to report the alleged violation to the Chapter Executive Director who will bring the matter to the Board of Directors.  The member may also report the alleged violation to CAI's National office.

  9. Chapter members and attendees at Chapter functions shall meet all financial obligations of participation in various Chapter activities and functions in a timely fashion and according to any terms listed on Chapter invoices.

  10.  In order to participate in any Chapter event at the member price, members must keep their membership active and renewed.  If membership is not renewed within 30 days of expiration, the Chapter Executive Director, upon direction and approval of the Executive Committee and/or full Board of Directors, shall suspend membership privileges to any such unpaid member.  Until membership is renewed and current, that member may continue to attend Chapter functions at the rate set for non-members.  Failure to renew membership within the 30 days allotted may result in the suspension of privileges as a member of the CAI Alabama Chapter.

  11.  Violation of either 9 or 10 above may be grounds for the Chapter Board of Directors to designate a Chapter member as "not in good standing", and to be afforded the loss of rights and privileges that accompany such designation.  The Chapter may adopt reasonable policies to suspend certain membership rights and privileges resulting from nonpayment of amounts due and owing to the Chapter or CAI, including the power to censure, suspend expel and terminate members in accordance with such policies until such time as any financial deficiencies are brought current.

  12. Complaints regarding alleged violations of this code of conduct may be made only by a member of the Alabama Chapter of CAI.  Notices of alleged violations must be in writing, signed by the member making the complaint, and submitted to the Chapter Executive Director, who will submit the complaint to the President of the Chapter.  The President shall report the alleged violation and complaint to the Executive Committee, which shall have sole authority to investigate the complaint and administer due process within a reasonable period of time.  The Executive Committee will report its findings and a recommendation for action on the complaint to the Chapter Board of Directors.  The Chapter Board of Directors will accept or reject the recommendation of the Executive Committee, and the Chapter President shall notify the parties involved as to the actions taken by the Chapter Board.
